I need to prepare a customer propection agreement between my Company (Smith international Gulf Services) and Muse.
In short, Muse will be introducing a new customer to Smith International and they will be entitled to 7% commission on the gross margin. This is a new
customer which Smith has never supplied to in the past. This agreement must also state that in case future enquiries come from this specific customer,
Muse must be notified by Smith and they will be entitled to their commission should orders be awarded. So in short this customer protection agreement is
not specifically for one project but it’s for all future enquiries coming from this specific customer.
Accordingly, it is agreed as follows:
1. That SIGS shall acknowledge that it was introduced by Muse to the new customer;
2. That SIGS shall pay 7% commission on the gross margin should orders be awarded;
3. Should any further enquiries or projects come through from this specific customer, SIGS must inform Muse prior to any award being made;
4. If orders are awarded due to Muse’s introduction, then they will be entitled to their commission accordingly;
5. Both parties agree that all payments due under this Agreement shall be paid within thirty days of receipt of invoice from Muse detailing services rendered.< Br >
6 . Should either party breach any of their obligations outlined herein, then they shall notify the other in writing and both parties can begin negotiations about rectifying any breaches.< br >
